End User License Agreement

Please read this End User License Agreement (“EULA”) before You purchase a License Key for the Peasy Plot App and subsequently download and use the Peasy Plot App.

By purchasing a License Key and/or downloading and using the Peasy Plot App, You agree, without reservation to be bound by the terms of this EULA. If You do not agree with the terms of this EULA, please do not purchase a License Key and/or download and use the Peasy Plot App.

If You accept the terms and conditions in this EULA on behalf of a company or other legal entity, You warrant that You have full legal authority to accept the terms and conditions in this EULA on behalf of such company or other legal entity, and to legally bind such company or other legal entity.

You may not accept this EULA if You are not of legal age to form a binding contract with Peasy Studio.

1. Definitions

In this EULA the expressions below shall have the meaning assigned to them in this clause, unless the context requires otherwise:

“Documentation” the detailed information about the Peasy Plot App, its features and the system requirements as made available on the website of Peasy Plot, as amended from time to time;
“Peasy Plot License” the license for the Peasy Plot App for the term specified on the webpage of the store where You purchase the license, or in any applicable agreement concerning the purchase of the license to Use the Peasy Plot App;
“License Key” a unique code provided by Peasy Plot via the merchant of record (Lemon Squeezy), which enables You to activate and to subsequently use the Peasy Plot App;
“Open Source Software” any software that requires as a condition of use, copying, modification and/or distribution of such software that such software or other software incorporated into, derived from or distributed with such software (a) be disclosed or distributed in source code form, and (b) be licensed for the purpose of making and/or distributing derivative works, and (c) be redistributable at no charge;
“Peasy Studio” operated by T Williams, United Kingdom
“Peasy Plot App” any software application and/or all of the contents of the files and/or other media, including software setup files, licensed to You by Peasy Studio, including any Updates;
“Updates” any modified versions and updates of, and additions to the Peasy Plot App (excluding major upgrades of the Peasy Plot App);
“Use” the access, download, install, copy or get benefit from using the Peasy Plot App in accordance with the documentation;
“You” you, the final and ultimate user of the Peasy Plot App or the authorized representative of a company or other legal entity that will be the final and ultimate user of the Peasy Plot App, and the company or other legal entity that will be the final and ultimate user of the Peasy Plot App, if applicable.

2. General

This EULA applies to any licenses granted to You by Peasy Studio for the use of the Peasy Plot App.
By purchasing a License Key for the Peasy Plot App and/or downloading and using the Peasy Plot App, You enter into this EULA with Peasy Studio.
You acknowledge that this EULA may be modified from time to time without prior notice to You. Such modifications will be effective upon posting on https://www.peasyplot.com/eula/.

3. License

Subject to the terms and conditions of this EULA and to Your payment of the applicable fees, Peasy Studio grants You a non-exclusive, non-transferable, non-sublicensable, limited, revocable license to Use the Peasy Plot App in accordance with this EULA. Peasy Studio reserves all rights not expressly granted to You. The fees displayed on Peasy Plot's pricing page are applicable for direct purchases made on peasyplot.com and may vary on third-party merchant platforms.
Peasy Studio is and remains the owner of any intellectual property rights with respect to the Peasy Plot App. You shall not acquire any ownership to the Peasy Plot App as result of Your purchase of the License Key or Your Use of the Peasy Plot App.

4. Permitted use and restrictions

In order to be able to install the Peasy Plot App and receive Updates and upgrades, Your computer shall have access to the Internet and shall meet the system requirements described in the Documentation that can be found on the webpage: www.peasyplot.com/systemreqs.
A free 30-day trial is available. You shall use the Peasy Plot App on one device using a trial license key. The trial usage of the Peasy Plot App is still under this EULA.
You shall Use the Peasy Plot App on up to two computers only, unless You have purchased a volume license. In the event You have purchased a volume license, the number of computers You may Use the Peasy Plot App on shall not exceed the number of Peasy Plot Licenses purchased. If You exceed the limit, or share the License Key, Peasy Studio may block the License Key in accordance with clause 9.3 of this EULA.
You shall Use the Peasy Plot App in accordance with applicable laws and shall not:
1. rent, lease, lend, sell, redistribute, sublicense or otherwise commercially exploit the License Key;
2. assign the License Key or the Peasy Plot License without prior written approval of Peasy Studio;
3. use the Peasy Plot App for any unlawful or illegal activity, or to facilitate an unlawful or illegal activity;
4. delete or alter any disclaimers, warnings, copyright or other proprietary notices accompanying the Peasy Plot App;
5. copy (except as otherwise provided in this EULA), adapt, translate, decompile, reverse engineer, disassemble, attempt to derive the source code of, modify or create derivative works of the Peasy Plot App and the License Key or any parts thereof, except to the extent permitted by applicable law;
Peasy Studio may modify the Peasy Plot App at any time at its sole discretion and without notice to You, for example to comply with applicable law or a court order, to avoid a third party infringement claim or to provide Updates and upgrades.
School licences are granted for educational use within the purchasing school only. Sharing the licence key outside the school (including personal use by staff, students, or family) is not permitted and may result in deactivation.
Team and office licences are granted solely for use within the purchasing organisation (including its employees and contractors working on behalf of the organisation). The licence key may be installed and activated on the number of devices specified at purchase (or unlimited, as applicable), provided all use remains internal to the organisation’s business operations.
The licence key must not be shared, distributed, or used outside the purchasing organisation, including but not limited to:
1. Personal use by employees, contractors, or their family members
2. Use by third parties, freelancers, or affiliates not directly employed by the organisation
3. Sharing via networks, cloud storage, or any means that allow access beyond the licensed organisation.

Any unauthorised use or sharing may result in immediate deactivation of the licence key, revocation of access, and potential re-invoicing at the full individual licence rate for each unauthorised user/device.

We reserve the right to request reasonable proof of use (e.g., number of active devices) to ensure compliance with this licence.

5. Technical support

1. Peasy Studio will notify You of any available Updates and upgrades.
2. Licensor may from time to time provide updates, upgrades, bug fixes, patches, or other modifications to the Software ("Updates"). Minor Updates (e.g., bug fixes and small improvements) are provided free of charge for as long as You have an active license or subscription.

Major Updates (e.g., new features or significant version upgrades) are provided free of charge as follows:

For the lifetime of version 1.x of Peasy Plot if You have purchased a lifetime license; or

For the duration of an active subscription;

After the applicable free Update period ends, You may continue to use the last version of the Software provided to You, but further major Updates will require renewal of Your license, purchase of a new license, or an active subscription arrangement with Peasy Studio.

Licensor is under no obligation to develop or release any Updates.

3. You may need to pay an additional fee in order to be able to download an upgrade.

4. You can download available Updates and upgrades from the website of Peasy Plot.

5. Digital content such as the Peasy Plot App is provided immediately upon purchase and delivery of the License Key. By purchasing, downloading, or activating the Peasy Plot App, You explicitly consent to immediate performance of this EULA and acknowledge that You waive any right to withdraw from or cancel the purchase under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 or equivalent laws.

Refunds are not available after activation of the License Key or download of the Peasy Plot App, except where required by law (e.g., for faulty or non-conforming products under the Consumer Rights Act 2015). Any refund requests must be submitted within 14 days of purchase via support@peasyplot.com and are subject to review. Peasy Studio reserves the right to deny refunds for change-of-mind or abuse.

All payments are processed by our merchant of record, Lemon Squeezy, whose terms may apply.

6. Any technical support provided by Peasy Studio, including the provision of Updates and upgrades, will be provided in an adequate way on an “as is” basis without any warranty, as soon as reasonably practicable, subject to availability of personnel.

The terms of this EULA will govern any Updates.

6. Use of data

Peasy Studio and its subsidiaries may periodically collect and use technical and related data concerning the Peasy Plot App You have licensed, including about the version number of the Peasy Plot App You have installed and about the system You have installed the Peasy Plot App on. Peasy Studio will use such data to facilitate maintenance and support with respect to the Peasy Plot App, to improve its products and to provide further services or technologies to You.
Peasy Studio may process personal data with respect to You, if and to the extent necessary to provide the License Key, to provide maintenance and support to You with respect to the Peasy Plot App and to comply with its obligations under this EULA. To the extent Peasy Studio will process personal data, it will comply with its obligations under applicable data protection law. Please see our privacy statement for more details on the processing of Your personal data that Peasy Studio has collected and received through its website.

7. Disclaimer

You Use the Peasy Plot App at Your own risk and the entire risk as to satisfactory quality, performance and accuracy is with You.
The Peasy Plot App and accompanying documentation are provided on an “as is” and “as available” basis without warranty - express or implied - of any kind, and Peasy Studio specifically disclaims the warranty of fitness for a particular purpose. No oral or written advice given by Peasy Studio, its dealers, distributors, agents or employees shall create a warranty or in any way increase the scope of this warranty and You may not rely upon such information or advice.

8. Liability limitation

The liability of Peasy Studio and any third party that has been involved in the creation, production, or delivery of the Peasy Plot App for all damages arising out of or in any way relating to the Peasy Plot License, the License Key, the Peasy Plot App and/or this EULA shall in no event exceed the total amount(s) paid by You to Peasy Studio in the preceding billing period.
Peasy Studio and any third party that has been involved in the creation, production, or delivery of the Peasy Plot App are under no circumstances liable for consequential or indirect damages (including damage for loss of profit, business interruption, loss of data, and the like arising out of the use or inability to use the Peasy Plot App).
The limitations of liability referred to in clause 8.1 and 8.2 shall not apply in the event that: (i) any negligence on the part of Peasy Studio leads to death or physical injury or (ii) damages arise from the intent, willful misconduct or gross negligence of Peasy Studio or the management of Peasy Studio. Nothing in this EULA excludes or limits liability for death/personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

9. Termination

This EULA will continue to be in force until the expiry or termination of the Peasy Plot License.
The Peasy Plot License will terminate automatically at the end of the applicable license term, unless renewed prior to the end of such term.
Peasy Studio is entitled to terminate the Peasy Plot License by blocking the License Key during the license term with immediate effect and without prior notice in the event You fail to comply with the terms in this EULA, in the event You fail to pay Your fee for the License Key within the applicable payment term, or in the event Peasy Studio is required to do so by law or an order of an applicable court. Peasy Studio may also terminate the Peasy Plot License in order to effect your request for a pro-rated credit of fees paid for the Peasy Plot License in order for and so as to allow You to upgrade into a subscription arrangement with Peasy Studio.
Upon termination of the Peasy Plot License, You shall cease all use of the Peasy Plot App.
You acknowledge that the provisions of this EULA, which by their nature are intended to survive termination, will remain in effect after termination of this EULA.

Governing law and disputes

This EULA shall be governed by and construed in accordance with the laws of the United Kingdom.
Any dispute between Peasy Studio and You shall exclusively be submitted to the competent court.
